Independent Contractor Agreement

1. Parties and Purpose

1-1. This agreement establishes the legal terms and conditions between ON Delivery, a private technology platform, and you, the undersigned party, operating as an Independent Contractor. This includes but is not limited to any Delivery Service Provider, Independent Delivery Agent, Third-Party Contractor, Independent Dasher, or Agent affiliated with any other third-party platform such as DoorDash or Uber.

1-2. You understand and agree that ON Delivery is not your employer, principal, or agent. ON Delivery is a link aggregation and digital platform provider, facilitating passive listings of delivery gigs and requests made by third-party merchants or consumers. No employment, partnership, joint venture, or agency relationship is created or implied.

2. Use terms for Independent Service Providers

2-1. LEGAL CAPACITY AND AGE

You affirm that you are at least eighteen years of age, a natural person with legal capacity to contract, and that you are entering this agreement knowingly and voluntarily. You further affirm that you possess a valid driver’s license, meet all legal and regulatory requirements for delivery in your jurisdiction, and are authorized to perform delivery services independently.

2-2. NON-EMPLOYEE STATUS AND RELATIONSHIP

You operate as an independent business and retain sole control over the means, methods, timing, and tools used to perform any delivery task or service. ON Delivery does not direct, supervise, control, or schedule your work and shall not be liable for any actions, omissions, negligence, misconduct, or contractual disputes between you and any third-party merchant, consumer, or platform.

No taxes, insurance, or benefits shall be withheld or provided by ON Delivery. You accept sole responsibility for any federal, state, or local tax obligations arising from income earned through connections made via the ON Delivery platform.

2-3. PLATFORM ACCESS AND REVOCATION

ON Delivery grants you a limited, revocable, non-exclusive license to access the platform solely to view, claim, or respond to publicly posted delivery opportunities. Access may be revoked at any time for misuse, breach, or suspected violation of any provision herein.

You shall not misrepresent your identity, qualifications, status, or affiliation while using the platform or while interacting with merchants or consumers.

2-4. CASH AND PAYMENT DISCLAIMER

ON Delivery does not collect or disburse payment on your behalf. You acknowledge that all payment, whether prepaid or cash-on-delivery, is between you and the consumer or merchant. You are solely responsible for tracking, collecting, verifying, and accounting for any cash or financial instrument received or returned.

ON Delivery is not responsible for lost, stolen, counterfeit, unpaid, misrouted, or disputed payments. You release and indemnify ON Delivery from all liability associated with payment matters, and agree that ON Delivery has no duty to intervene in financial disputes of any kind.

2-5. LEGAL COMPLIANCE AND VEHICLE REQUIREMENTS

You represent and warrant that you have all necessary licenses, registrations, insurances, permits, and equipment required to operate your vehicle lawfully. You are solely responsible for compliance with applicable traffic laws, parking regulations, commercial registration, and safety protocols.

ON Delivery shall not be liable for traffic citations, impounds, crashes, insurance denials, or third-party claims related to your conduct or condition of your vehicle.

2-6. PRIVACY AND DATA

You agree not to misuse, store, or share personal data obtained through ON Delivery for any purpose other than fulfilling the immediate delivery task. You shall not store, retain, sell, or exploit the personal information of any merchant or customer.

2-7. RELEASE OF LIABILITY

You release and hold harmless ON Delivery, its owners, agents, directors, and partners from any and all claims, demands, losses, damages, liabilities, injuries, or disputes arising from or related to your use of the platform, performance of deliveries, or interactions with third parties.

2-8. DISPUTES AND GOVERNING LAW

This agreement shall be governed by the laws of the State of Michigan. Any claim, dispute, or controversy arising hereunder shall be resolved through binding arbitration in Wayne County, Michigan. You waive any right to trial by jury and to participate in class actions or group litigation.

2-9. ENTIRE AGREEMENT AND MODIFICATION

This document constitutes the full and complete agreement between the parties. No verbal or implied promises are enforceable unless expressly included herein. ON Delivery reserves the right to modify this agreement at any time by posting a revised version. Continued use of the platform constitutes acceptance of any modifications.
